Kubasiak Director/Shareholder gkubasiak@kftrlaw.com Practice Areas Mr. Kubasiak's practice focuses on representation of privately held businesses, both domestic and foreign, and on providing strategic planning in "problem" transactional matters in dispute. The business practice includes the acquisition and disposition of businesses as well as ongoing management issues, preparation of shareholder agreements, employment agreements, stock option agreements, and related tax, estate, and succession planning. Mr. Kubasiak's "problem" transactional practice involves complex corporate and tax issues and involves such matters as shareholder, partner, and related ownership disputes, employment issues, retirement benefits and tax issues. He also represents fiduciaries and beneficiaries in contested estates and trusts. His clients include a wide variety of businesses, including construction companies, professional service practices, manufacturers, technology firms, professional fiduciaries and foreign-based companies doing business in the United States. Mr. Kubasiak has also been retained to provide expert testimony on various issues including the "standard of care" for a transactional lawyer. Mr. Kubasiak has been recognized by his peers as an Illinois "Leading Lawyer," among the upper five percent of all Illinois lawyers who practice in the following categories: Closely and Privately Held Business Law and Tax Law: Business. Professional Associations & Affiliations Mr. Kubasiak is admitted to the Illinois and New York State Bars, the United States Tax Court, the United States District Court for the Northern District of Illinois, the United States District Court for the Central District of Illinois, the United States Court of Appeals for the Seventh Circuit and the United States Supreme Court. He is a member of the American Bar Association (Tax Section, U.S. Activities of Foreigners, and Tax Treaties Committee), the New York State Bar Association, and the Chicago Bar Association (Federal Tax Committee, Corporate Distributions, and Reorganizations Division). Mr. Kubasiak also serves as a judge on the Illinois Court of Claims. Publications Mr. Kubasiak has published business and tax-related articles in The International Lawyer, the Journal of Taxation, and the Chicago Bar Record. He authored both a chapter and the supplement for the Illinois Institute for Continuing Legal Education (IICLE) Real Estate Syndication volume. In addition, he has been a panelist at American Bar Association, Chicago Bar Association and IICLE seminars on business entity, estate planning, tax and real estate topics.
