Mr. Corradini concentrates his practice in the areas of corporate finance and securities. He also has significant experience representing private and public companies in a broad range of corporate transactional matters, including domestic and cross-border mergers and acquisitions, real estate capital markets transactions, and general corporate and commercial issues.
In the area of corporate finance and securities, Mr. Corradini has extensive experience acting as lead corporate and securities counsel in various corporate and securities transactions, including structuring, drafting, advising clients, and preparing documents for private debt and equity securities offerings. Mr. Corradini has represented issuers in private offerings in the real estate, food and energy industries, among others. Mr. Corradini has also represented a number of lending institutions and borrowers as counsel with respect to senior secured, asset, receivables, and unsecured financings.
With regard to transactions, Mr. Corradini has extensive experience counseling clients in mergers and acquisitions and various other corporate transactions, including structuring and drafting numerous types of agreements, such as limited liability company operating agreements, partnership agreements, escrow agreements, merger and acquisition agreements, purchase and sale agreements, private placement memoranda, and commercial agreements.
In the area of real estate capital markets, Mr. Corradini has extensive experience in all aspects of structuring and syndicating real estate projects, including real estate investment funds, real estate operating and development companies, partnerships, joint ventures, and Section 1031 structures, such as tenant-in-common arrangements and Delaware Statutory Trust offerings. In addition, Mr. Corradini has experience in structuring and syndicating Section 1031 oil and gas offerings, including royalty interests, working interests, and related structural attributes such as farm-out arrangements and production payments. Mr. Corradini has represented a number of sponsors in the tenant-in-common industry in offerings ranging from $10 to $50 million.

Mr. Corradini joined Kubasiak, Fylstra, Thorpe & Rotunno, P.C. in 2011. Prior to joining the firm, he was an associate at the law firms of Bryan Cave LLP and Baker & McKenzie LLP.
